Terms of Sale for Digital File Purchase on Capable Clover

1. License Grant

Upon purchase, you (“Buyer”) are granted a non-exclusive, non-transferable, revocable license to use the digital file(s) (“Product”) solely for personal, non-commercial purposes. This license does not transfer ownership of the Product but permits limited use as outlined in these terms.

2. Usage Restrictions

•  No Commercial Use: The Product may not be used for any commercial purpose, including but not limited to creating items for sale, advertising, or any profit-generating activity, without prior written permission from Capable Clover.

•  No Resale or Distribution: You are prohibited from reselling, sharing, redistributing, or transferring the Product, in whole or in part, in its original or modified form, to any third party.

•  No Derivative Works: You may not modify or create derivative works from the Product for resale or commercial purposes without express written consent from Capable Clover.

3. Intellectual Property

•  All intellectual property rights in the Product remain with Capable Clover or its licensors. Your purchase does not grant ownership or rights to reproduce, distribute, or exploit the Product beyond personal use.

•  Unauthorized use may violate copyright, trademark, or other intellectual property laws, and Capable Clover reserves the right to take legal action.

4. Prohibited Actions

You agree not to:

•  Upload or share the Product on file-sharing platforms, websites, social media, or any public or private group.

•  Use the Product in any manner that competes with Capable Clover’s business or products.

•  Modify the Product for redistribution or commercial use.

5. Enforcement and Termination

•  Violation of Terms: Any breach of these terms, including unauthorized commercial use or resale, will result in immediate termination of your license to use the Product. Capable Clover may pursue legal remedies for misuse.

•  No Refunds: All sales of digital products are final, and no refunds will be issued for violations of these terms, per Shopify’s digital download policies.

6. Governing Law

Any disputes arising from these terms will be resolved in the courts of Los Angeles, CA.
